PART III NARRATIVE
State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
The registrant was acquired on March 8, 2006 by WS Midway Holdings, Inc., through a merger (the Merger) of the registrant with a newly formed subsidiary of WS Midway Holdings, Inc. The Merger is being accounted for in accordance with Statement of Financial Accounting Standards 141 (Business Combinations). As of the end of each fiscal quarter during the fiscal year ended February 4, 2007, and as disclosed in the registrants reports on Form 10-Q for the quarters ended July 30, 2006 and October 29, 2006, the Merger and the allocation of the purchase price paid in the Merger have been recorded based on preliminary valuation studies from independent valuation specialists and have been subject to change based, among other factors, on the completion of such studies. The registrant is unable to file the referenced Form 10-K in a timely manner because the registrants management and its independent public accountants require additional time (i) to complete the allocation process (due in part to delays in obtaining completed reports from these independent valuation specialists) and (ii) to reflect these changes in the audited financial statements to be contained in the referenced Form 10-K. The registrant is unable to eliminate the need for additional time without unreasonable effort or expense.
